Conditions of Use

Videos and photos in this website are licensed to the public for download unless otherwise specified. You agree that:

• All use shall be for the purpose of promotion of Bosideng International Holdings Limited and its subsidiaries (the “Bosideng Group”) and is governed by the Terms and Conditions of Submission and Reproduction of Content. Prior written consent from the Bosideng Group is required for all other usage.
• Videos and photos cannot be altered or deformed in any way.
• Videos and photos cannot be resold in digital, slide, print or any other format. Nor can they be rented, leased or given to third parties.
• Videos and photos (in whole or in part) cannot be used for illustrating merchandises and derivative works that are for sale.

Terms and Conditions of Submission and Reproduction of Content

• In this agreement the terms:
  • “User” shall mean any person or corporation applying to the Bosideng Group for reproduction rights herein stated subject to the terms and conditions set out herein;
  • “Content” includes any photograph, graphic, image, caption, video, subtitle, audio and music, or any other item which may be offered in whatever format or medium for the purposes of reproduction;
  • “reproduction” or “reproduce” includes any form of publication or copying of the whole or part of any Content, whether altered or not, via any medium and by whatever means, whether by printing, photography, slide projection (whether or not to an audience), xerography, presentation, electronic or mechanical reproduction or storage by any other means;
  • “download” or “downloading” means digital delivery conducted by World Wide Web site operators providing facilities on their websites through which users may reproduce (by the process commonly known as "downloading") and store Content or other materials from the Websites to their own computers or storage devices whether or not for a fee or other consideration. This shall also include the making of copies of Content or material which is transient.
• No variation of terms or conditions set out herein shall be effective unless agreed in writing by both parties.
• No property or copyright in any Content shall pass to the User whether on its submission or on the Bosideng Group's grant of reproduction rights in respect thereof.
• Users may be required to pay a non-refundable service fee to cover administrative costs and the dispatch of Content by the Bosideng Group on each submission and resubmission of Content, whether or not reproduction rights are required or granted. The User may be required to pay for courier, express or any other special delivery arrangements requested.
• Reproduction rights:
  • Reproduction rights (if and when granted) are strictly limited to the use specified on the terms and conditions set out herein.
  • Reproduction rights are granted on a non-exclusive, non-transferable and limited licence basis to the User.
  • Reproduction rights granted are personal to the User and may not be assigned, nor may any Content submitted to the User be loaned or transferred to third parties save for the purpose of the exercise by the User of such reproduction rights strictly for the purpose approved and PROVIDED THAT any such third party shall as a condition precedent for use, sign and return an acknowledgement of these terms and conditions confirming compliance with the same and indemnity to the Bosideng Group as stated herein.
  • Any reproduction rights granted are by way of non-exclusive licence and no partial or other assignment of copyright shall be implied therein.
  • All intellectual property rights subsisting in respect of the Content belong to the Bosideng Group or have been lawfully licensed to the Bosideng Group for use. All relevant rights under applicable laws are hereby reserved by the Bosideng Group.
  • In the case where a copyright notice or credits be required to accompany the Content and any Content reproduced by the User omits such copyright notice or credits, the reproduction fee payable by the User shall be subject to an increase to be decided by the Bosideng Group at its sole discretion.
  • Content (including its subject, components, caption and any graphic or image thereon) shall not be copied, loaned or otherwise disposed of and no use whatsoever shall be made of them by the User without the prior written consent of the Bosideng Group, nor shall the Content be altered or disposed of, added to, or deformed or any part deleted without the prior written consent of the Bosideng Group. Users cannot create derivative works out of the Content (including its subject, components, caption and any graphic or image thereon) as the Content is copyrighted under applicable laws.
  • The Bosideng Group shall not be liable for any loss or damage suffered by the User or by any third party arising from the use or misuse or reproduction of any Content or its content and caption.
  • The User shall not use Content in any way, or in connection with any material, which is unlawful, fraudulent, libelous, defamatory, obscene, pornographic, profane, threatening, abusive, hateful, offensive or otherwise objectionable or unreasonable or infringing upon any laws or regulations or intellectual property right or proprietary rights or confidentiality obligations and shall indemnify the Bosideng Group against any claims, damages, proceedings, loss or costs arising from such use. The User shall not use the Content in any way that could be construed as being adverse or derogatory to the image of the Bosideng Group or the subjects, trademarks or other objects featured in the Content.
  • A User must satisfy himself/herself/itself that all necessary rights, templates or consents which may be required for reproduction, are obtained and acknowledge that the Bosideng Group gives no warranty or undertaking that any such rights, templates or consents are or will be obtained whether in relation to the use of names, people, trademarks, registered or copyrighted designs or brand names, etc, depicted in any Content. In the event that the Content is used or reproduced by or with the authority of the User, the User shall indemnify the Bosideng Group against any loss, damage, proceedings or costs where such rights, templates or consents have not been obtained.

The Bosideng Group and/or its respective suppliers make no representation about the suitability of the information, Content and related graphics provided for any purpose. All such information, Content and related graphics are provided by the Bosideng Group and/or its respective suppliers. It is recommended that prospective users should liaise directly with these suppliers to confirm any information that they seek to rely on. The Bosideng Group provides the information, Content and related graphics published on its Website, or in any other form, without warranty of any kind and the Bosideng Group and/or its suppliers disclaim all warranties and conditions including all implied warranties and conditions of merchantability, quality, fitness for a particular purpose, title and non-infringement. In no event shall the Bosideng Group and/or its respective suppliers be liable for any incidental, special, direct, indirect, punitive or consequential damages or any damages whatsoever resulting from loss of use, business, data or profits, whether in an action of contract, negligence or other tortious action, arising out of or in connection with the use or misuse or reproduction of such Content provided, even if the Bosideng Group has been advised of the provision of such damage.
